Professional service agreements governing your engagement with Magellan Electronics
1. Acceptance of Terms
By accessing and using the services provided by Magellan Electronics ("Company," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Magellan Electronics.
If you do not agree with any part of these Terms, you must not use our services or access our website.
2. Service Description
Magellan Electronics provides professional embedded hardware design services, including but not limited to:
- Full-stack hardware design and development
- PCB layout and routing services
- Signal integrity and power integrity simulation
- Value engineering and cost optimization
- Supply chain management and component sourcing
- Design for manufacturability and testability
- Root cause analysis and technical consulting
3. Scope of Work and Deliverables
3.1 Project Specifications
All projects will be governed by a separate Statement of Work (SOW) or Service Agreement that outlines specific deliverables, timelines, and payment terms. The SOW will take precedence over these general Terms in case of any conflict regarding project-specific requirements.
3.2 Design Standards
Our designs adhere to industry-leading standards and Fortune 500-level processes, including comprehensive peer reviews, design for testability (DFT), and design for manufacturability (DFM) principles.
4. Client Responsibilities
To ensure successful project delivery, the Client agrees to:
- Provide complete and accurate technical requirements and specifications
- Supply necessary documentation, reference designs, and technical materials
- Respond to technical queries and design reviews within agreed timeframes
- Provide access to required testing equipment or facilities when necessary
- Maintain confidentiality of proprietary information shared by Magellan Electronics
5. Intellectual Property Rights
5.1 Client Ownership
Upon full payment for services, the Client will own all custom designs, schematics, PCB layouts, and documentation specifically created for their project, subject to any third-party intellectual property rights.
5.2 Magellan Retained Rights
Magellan Electronics retains ownership of:
- Pre-existing intellectual property, methodologies, and design libraries
- General knowledge and experience gained during the project
- Rights to use non-confidential aspects of the work for portfolio and marketing purposes
6. Confidentiality and Non-Disclosure
Both parties acknowledge that confidential information may be disclosed during the course of the engagement. We maintain strict confidentiality protocols and will execute separate Non-Disclosure Agreements (NDAs) when required by the Client.
Confidential information includes but is not limited to: technical specifications, design requirements, business plans, financial information, and any proprietary data shared between parties.
7. Warranties and Disclaimers
7.1 Professional Standards
Magellan Electronics warrants that services will be performed in accordance with industry standards and professional engineering practices. We guarantee that our designs will meet the specifications outlined in the agreed Statement of Work.
7.2 Limitation of Warranties
Except as expressly stated herein, all services are provided "as is" without warranty of any kind. We disclaim all other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
8. Limitation of Liability
In no event shall Magellan Electronics be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by the Client for the specific services giving rise to the claim.
9. Payment Terms and Cancellation
9.1 Payment
Payment terms will be specified in the individual Service Agreement. Generally, projects require an upfront payment with remaining amounts due upon milestone completion or final delivery.
9.2 Cancellation
Either party may terminate the engagement with written notice. In case of cancellation, the Client will pay for all work completed up to the termination date, and Magellan Electronics will deliver all work products completed as of that date.
10. Force Majeure
Neither party shall be liable for any delay or failure in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemic restrictions, or supply chain disruptions affecting component availability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization].
Prior to formal dispute resolution, both parties agree to engage in good faith negotiations to resolve any conflicts.
12. Modifications and Updates
Magellan Electronics reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services after any modifications constitutes acceptance of the updated Terms.
Material changes affecting ongoing projects will be communicated directly to affected Clients with reasonable notice.
